Conceivr is a marketplace platform operated by Conceivr Limited, a company incorporated in Nigeria under the Companies and Allied Matters Act 2020 (RC Number: 9486345, registered address: No. 22 Otunba Alaba Williams Street, Alimosho, Lagos, Nigeria).

Conceivr connects founders and early-stage entrepreneurs with expert advisors for paid 1:1 advisory sessions and structured mentorship. Conceivr also operates an open live-webinar platform where any registered user may host a public session. Conceivr provides the infrastructure — booking, scheduling, video rooms, payments, and communication tools — but does not itself provide advisory, legal, financial, investment, or business consulting services.

Experts on Conceivr are independent advisors, not employees or agents of Conceivr. Any advice, guidance, or information provided during sessions is the responsibility of the individual expert, not Conceivr.

Important: Conceivr Limited is not a financial institution and is not licensed or regulated by the Central Bank of Nigeria (CBN). Payment processing on the platform is handled exclusively by Flutterwave, a payment service provider licensed by the CBN. Conceivr does not hold, transmit, or store your funds — all money movement occurs through Flutterwave.

Conceivr is intended for users who are at least 18 years old. By creating an account, you confirm that you are 18 years of age or older, that the information you provide is accurate and complete, and that you have the legal capacity to enter into a binding agreement. You are responsible for all activity that occurs under your account.

Conceivr reserves the right to suspend or permanently terminate accounts that: provide false or misleading information; violate these Terms; engage in abusive, harassing, or fraudulent behavior toward other users or experts; attempt to circumvent platform fees or communicate with experts outside the platform to avoid payment; or otherwise damage the Conceivr community.

Expert accounts (for 1:1 advisory sessions) are subject to an additional vetting and approval process. Approval is at Conceivr's sole discretion and may be revoked at any time. Hosting a webinar on Conceivr does not require expert status — any registered user may create and publish a live session.

Sessions are booked through the Conceivr platform. When you book a session, you agree to attend at the scheduled time. Sessions may be for 30, 45, or 60 minutes depending on the expert's available options.

Founder cancellations: You may cancel a session at any time before its scheduled start. Everything you paid, including the service fee, is returned to your Conceivr wallet straight away for use on future bookings. Once a session has started it can no longer be cancelled, and if you do not attend, the session is not refunded.

Expert cancellations: If an expert cancels a confirmed session, you will receive a full refund of everything you paid to your Conceivr wallet. If an expert does not join a session, you are refunded in the same way and the expert is not paid. Repeated expert cancellations may result in the expert's account being suspended.

Payment hold and session reports: Conceivr holds every session payment until 48 hours after the session ends before paying the expert. During that time either party can report a problem (for example, the expert did not join, left early, or the call could not go ahead). An open report pauses the payout while Conceivr reviews it, using the session’s attendance record and both parties’ accounts. Conceivr may release the payment, refund part of it, or refund it in full to the founder’s Conceivr wallet, and its decision is final. Experts are not paid for sessions they did not attend.

Reschedules: Both parties may agree to reschedule a session with at least 12 hours notice. Reschedules must be arranged through the platform.

Payments are processed through Flutterwave, a payment service provider licensed by the Central Bank of Nigeria (CBN). By initiating a payment, you agree to Flutterwave's terms and payment processing conditions. Conceivr does not store your card or bank account details.

Escrow model: When you pay for a session, Conceivr holds the payment and does not release it to the expert until 48 hours after the session ends. During that time you can report a problem from your bookings page. If no report is open and the expert attended, the expert is paid their share automatically.

Fees: Founders pay the expert’s session price plus a 5% service fee, shown before you pay. Conceivr keeps 20% of the session price as its platform fee; the expert receives the remaining 80%.

Refunds: Refunds are credited to your Conceivr wallet straight away and can be used on any future booking. If you would rather have the money returned to your original payment method, email youreach@conceivr.com and we will process it within 7 business days.

Unresolved complaints: If your payment complaint is not resolved to your satisfaction within 10 business days, you may escalate it to Flutterwave directly or to the CBN Consumer Protection Department at cbn.gov.ng.

Paid webinars are priced by the host. Ticket payments are processed through Flutterwave, licensed by the CBN. Conceivr charges a 15% platform fee on each ticket sale (10% for hosts on the Pro plan), and hosts receive the rest. Host payouts are made 48 hours after the webinar, and only for webinars the host actually ran. The fee is deducted from the host payout, not added to the price the attendee sees.

Refund policy for webinar tickets: Ticket purchases are non-refundable unless the host cancels the webinar. If a host cancels a scheduled paid webinar, Conceivr will issue a full refund to all registered attendees within 7 business days. If a host fails to appear without cancelling in advance, contact youreach@conceivr.com within 24 hours of the scheduled start time to request a refund.

Host payouts: Payout to the host is processed after the session completes. Conceivr reserves the right to hold or reverse a payout if a valid refund request is received within the applicable window.

Host responsibilities: Any person who creates a paid webinar on Conceivr is responsible for delivering the session as described. Conceivr is not liable for the quality, accuracy, or content of any webinar hosted by a user.

Experts on Conceivr agree to: show up on time for scheduled sessions; provide honest, good-faith advice within their area of expertise; maintain confidentiality about information shared by founders during sessions; not solicit founders for paid engagements outside the Conceivr platform; and not misrepresent their experience, credentials, or qualifications.

Experts may not use sessions to promote products, services, or investments in which they have a financial interest without disclosing that interest upfront. Experts who violate these standards may have their accounts suspended and may be liable for refunds to affected founders.

You agree not to:

• Share, solicit, or exchange personal contact information (phone numbers, WhatsApp, personal email) to arrange sessions outside the platform
• Use Conceivr to distribute spam, malware, or unsolicited commercial communications
• Scrape, reverse-engineer, or copy any part of the platform
• Impersonate any person or misrepresent your affiliation with any organization
• Upload or transmit content that is illegal, abusive, defamatory, or infringes on third-party intellectual property
• Attempt to manipulate ratings or reviews

Conceivr owns all intellectual property in the platform, including its design, codebase, branding, and content we create. You retain ownership of any content you upload or create on the platform (profiles, insights, etc.), but grant Conceivr a license to display and distribute that content as part of operating the platform.

Session recordings, if any, may only be made with explicit consent from all participants. Conceivr does not record sessions by default.

Conceivr offers an optional AI-powered live transcription feature for webinar hosts. When enabled, audio from the host's microphone is sent in short segments to our AI transcription provider for processing. By enabling transcription, the webinar host:

• Confirms they have informed all participants that AI transcription is active
• Accepts that audio segments will be processed by our AI transcription provider
• Understands that transcript text may be stored as part of the webinar record

Transcription is off by default and can be stopped at any time. Conceivr does not use transcripts for advertising or share them with third parties beyond what is required for transcription processing.

Experts on Conceivr are independent contractors, not employees or agents of Conceivr. Each expert is solely responsible for:

• The accuracy, completeness, and suitability of advice they provide
• Obtaining any professional licence or certification required to provide their specific type of advice (e.g., legal, medical, financial, accounting advice may require a licence in Nigeria or the relevant jurisdiction)
• Declaring and paying taxes on earnings received through the platform, including income tax obligations to the Federal Inland Revenue Service (FIRS)
• Complying with any professional codes of conduct applicable to their field

Conceivr does not verify professional licences or certifications. Nothing on this platform constitutes regulated financial advice, legal advice, or medical advice. Users should seek appropriately licensed professionals for regulated services.

Conceivr is a marketplace platform. We do not endorse or guarantee the quality, accuracy, or suitability of advice provided by any expert on the platform. Conceivr is not liable for any loss, damage, or harm arising from your reliance on advice given during a session or webinar.

Conceivr's total liability in any dispute is limited to the lesser of: (a) the amount you paid for the specific session or service in question, or (b) ₦500,000. Conceivr is not liable for indirect, consequential, punitive, or incidental damages of any kind.

If you have a dispute with another user or expert, contact Conceivr at youreach@conceivr.com first. We will attempt to mediate and resolve disputes within 5 business days.

For unresolved payment or financial disputes, you may escalate to the CBN Consumer Protection Department at cbn.gov.ng. For unresolved general consumer complaints, you may escalate to the Federal Competition and Consumer Protection Commission (FCCPC) at fccpc.gov.ng.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

You may delete your account at any time from your account settings. Conceivr may terminate or suspend your account immediately if you violate these Terms.

Conceivr may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the platform at least 7 days before changes take effect. Continued use of Conceivr after changes take effect means you accept the updated Terms.
